Terms of Service

The agreement between us

How we work together, what each side is responsible for, and what happens if something goes wrong.

Last updated 14 October 2026

These Terms govern your use of rundigital.com and the services provided by Run LLC, doing business as Run Digital and RunLeadGen. In these Terms, "we", "us" and "our" mean Run Digital, and "you" means the person or business using the site or buying services.

If you have signed a separate agreement with us, such as a proposal, statement of work or service agreement, that document governs your engagement. These Terms fill any gaps and cover your use of this website. Where the two genuinely conflict, your signed agreement wins.

The short version

  • Work runs month to month unless your agreement says otherwise, and either side can end it with 30 days written notice.
  • Fees are billed automatically on the same date each month. Advertising spend is separate and is paid to the platforms, not to us.
  • You own the work we produce for you and the accounts we build, once you have paid for them.
  • We cannot guarantee rankings, leads or revenue, and no honest agency can.
  • Our liability is capped at what you have paid us.

1. Accepting these terms

By using this site, buying a service, or engaging us, you agree to these Terms. If you do not agree, do not use the site or engage us.

You confirm that you are of legal age in the place where you live, and that if you are agreeing on behalf of a business you have authority to bind it.

2. What we do

We provide digital marketing and related services, set out in the proposal, invoice or agreement we have agreed with you. Depending on what you have bought, that can include search engine optimisation, paid search, paid social, organic social, email and SMS, CRM and conversion work, marketing automation, creative production, and website development.

Where a service is described on this site or in our pricing, the description tells you what is included. Anything not described is out of scope until we agree it in writing.

3. What you agree to provide

We can only do our work if you hold up your end. You agree to:

  • Give us timely access to the accounts, platforms, analytics and hosting we need
  • Provide brand assets, product information, and anything else the work depends on
  • Respond to requests for approval and feedback within a reasonable time
  • Keep your billing information current and accurate
  • Make sure anything you give us is accurate and that you have the right to use it, including images, copy, logos and customer data

If a delay is caused by something on your side, timelines move accordingly and the fees for that period still apply.

4. Fees and payment

  • Fees are set out in your service agreement, proposal or invoice.
  • Recurring fees are charged automatically on the same date each month as your service start date, and continue until the engagement ends under section 6.
  • Checkout on this site may add a card processing fee, which is shown before you confirm payment.
  • Prices can change. Section 15 explains how we handle that.
  • If a payment fails, we may pause work until it is resolved. We will tell you before we pause anything.

Card details are handled by our payment processor over encrypted connections. We do not store your full card number. Other information you send us may travel over ordinary unencrypted networks.

5. Advertising spend

Advertising budget is separate from our management fees. Unless your agreement says otherwise, media spend is billed by the advertising platform directly to your payment method on your own account, and we never take a percentage of it without saying so in writing.

You set the budget and you can change it by telling us. You are responsible for the spend itself, including any amount the platform charges after you ask us to pause, since platforms do not always stop instantly.

6. Term, renewal and cancellation

Unless your agreement says otherwise, services run month to month and renew automatically on your renewal date.

Either of us can end the engagement with 30 days written notice. The notice period exists so we can offboard properly, which means closing out campaigns, handing over accounts, and stopping work in an orderly way rather than mid flight.

Because notice is 30 days, one more billing cycle will usually run after you give it. For example, if your renewal date is the 15th and you cancel on the 1st, the payment for the cycle starting on the 15th will still be taken.

Anything either of us already owes the other survives the end of the engagement.

Handover guarantee. Within those 30 days we will transfer to you every account and asset listed in section 8, in working order, together with the ownership transfers or logins you need to keep using them without us. If we have not completed that handover by the end of the notice period, we refund your final month of service fees. This does not cover delays caused by something we are waiting on from you, or by a third party platform’s own transfer process once we have submitted the request.

7. Refunds

Monthly service fees pay for work performed in that month and are not refundable once the month has begun. One off project fees are not refundable once the work has started, though if we have not started we will refund you in full.

If you think you have been charged in error, contact us and we will look into it and correct anything that is wrong.

8. Who owns the work

You own it. Once you have paid for it, the deliverables we create for you are yours. Accounts and assets we set up or manage on your behalf belong to you, not to us. To be specific, each of the following is yours:

  • Your website and its code. Files, theme, templates, database and hosting account.
  • Your domain name. Domains are registered in your name wherever the registrar allows it. If we registered or hold one for you, it is still yours, and we will transfer it to a registrar account of your choosing on request at no charge.
  • Your advertising accounts. Google Ads, Microsoft Ads, Meta and any other paid media account, including the campaign history and audiences inside them.
  • Your analytics and tracking data. Google Analytics properties, Tag Manager containers, Search Console, pixels, conversion actions and the historical data they hold.
  • Your Google Business Profile and other listings. You stay the owner. We work as a manager.
  • Your CRM and contact database. Contacts, pipelines, deal and conversation history, notes, tags, and email and SMS templates. You can have a full export in a standard format such as CSV on request, at any time, not only when you leave.
  • Your phone numbers and call tracking. Tracking and forwarding numbers we provision for you are ported to you or to a carrier of your choosing on request, along with the call records and recordings we hold.
  • Your merchant and payment accounts. Payment processor, gateway and checkout accounts are opened in your business name, under your legal entity and your bank account. We never take custody of your money and we never route your customers through a merchant account of ours.
  • Your content and creative. Copy, photography, video, graphics, landing pages and ad creative we produce for you.
  • Your automations and workflows. Forms, follow up sequences, review requests, reporting dashboards and any AI agents we build inside your accounts.
  • Your reviews and reputation assets. Review profiles, request links, and the replies we publish on your behalf.

Nothing we build for you stops working because you stopped paying us. We do not rent you assets, we do not hold logins back as leverage, and we do not keep a copy of your account as a condition of leaving.

We keep ownership of the things we bring with us, meaning our own methods, templates, internal tooling, software licenses and know how. Where our tooling touches your accounts, you keep the output and the data and we keep the tool.

We may describe the work in general terms in case studies unless you ask us not to. If you ask, we take it down. For the asset by asset detail behind this section, including how we handle handover, see our Asset Ownership and Handover Policy.

9. Confidentiality

We keep your non public information confidential, and we expect the same of you regarding ours. This does not apply to information that is already public, that either of us already knew, or that the law requires to be disclosed.

10. Results and performance

We will perform the services in a professional and workmanlike manner, and we will be straight with you about what is working.

We do not guarantee specific rankings, traffic volumes, lead counts, conversion rates or revenue. Search engines and advertising platforms control their own algorithms and policies and change them without warning, and results also depend on your market, your pricing, your offer and how you handle the leads we send. Any forecast or projection we give you is an estimate based on the information available at the time, not a promise.

11. Third party platforms and tools

Our work depends on platforms we do not control, including Google, Meta, LinkedIn, and the CRM and automation tools we use. Access to those tools is provided as is. We are not responsible for their availability, their pricing, their policy changes, or a decision by one of them to suspend or disable an account.

Where we give you access to an optional third party tool, you use it at your own risk and subject to that provider's own terms. Our site also links to sites we do not run, and we are not responsible for their content.

12. Acceptable use of the site

You may not use this site or our services for anything unlawful, to harass anyone, to distribute malware, to scrape data, to send spam, or to infringe anyone's intellectual property. We may suspend or end access for any of these.

We can also decline to work with anyone, and we can decline or cancel an order, limit quantities, or ask for updated billing information before processing a transaction.

13. Anything you send us

If you send us ideas, comments or suggestions that are not part of a paid engagement, we may use them without owing you confidentiality, payment or a reply. This does not apply to your confidential business information, which section 9 covers.

14. Accuracy and availability of the site

Content on this site is general information. We try to keep it accurate and current but we do not promise that everything is free of error or completely up to date, and you should not treat it as your only source for a decision. We may change or remove site content at any time, and we are not obliged to update it.

We do not promise the site will always be available or uninterrupted.

15. Changes to services and pricing

We may change what we offer, and we may change prices. For an existing client on a recurring plan we will give you at least 30 days notice before a price change takes effect, so you always have the option to cancel under section 6 first. Prices shown on the site for new purchases can change at any time.

16. Warranty

We warrant that we will perform the services in a professional and workmanlike manner. Beyond that, the services and everything on this site are provided as is and as available, without further warranties of any kind, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

17. Limitation of liability

Our total liability arising out of or connected to this agreement is limited to the total fees you have paid us under it.

We are not liable for indirect, incidental, special or consequential damages, including lost profits, lost revenue, lost data, or business interruption, even if we were told such damages were possible.

Nothing in these Terms limits liability that cannot be limited by law.

18. Indemnification

You agree to indemnify and hold harmless Run Digital and its affiliates, officers, employees and agents from claims, damages and reasonable costs arising out of your breach of these Terms, your violation of any law, or content or data you provided to us.

19. Events outside our control

Neither of us is liable for failing to perform because of something genuinely outside our control, such as natural disaster, war, civil unrest, labour action, power or network failure, or a change imposed by a platform or government. If such an event continues for more than 60 days, either of us may end the engagement on written notice.

20. Assignment

You may not transfer your agreement with us to someone else without our written consent. We may transfer ours as part of a merger, acquisition or sale of the business, and we will tell you if that happens.

21. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules.

If something goes wrong, we would rather fix it than fight about it, so please contact us first and give us a fair chance to put it right. If we cannot resolve it between us within 30 days, the courts located in Tooele County, Utah, or the federal courts serving that area, will have exclusive jurisdiction, and both of us consent to that venue.

22. General provisions

If any part of these Terms is found unenforceable, the rest stays in force and the unenforceable part is applied as closely as the law allows to what it was meant to do.

These Terms, together with your service agreement, proposal or invoice and our Privacy Policy, are the entire agreement between us and replace any earlier understanding, written or spoken.

If we do not enforce something straight away, that does not mean we have given up the right to enforce it later.

Nothing in these Terms makes either of us the other's partner, employee or agent.

23. Changes to these terms

We may update these Terms by posting a revised version here with a new date at the top. For changes that materially affect an active engagement we will give you reasonable notice rather than relying on you to notice. Continuing to use the site or our services after an update means you accept it.
